1. Acceptance of Terms
By accessing or using the KeyShare website (keyshare.id), platforms, hardware, software, or any related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you may not access or use the Services.
2. Definitions

| "Platform" | KeyShare's identity verification and credential delivery software, including the Guest Experience Platform (GEP), KeyShare Connect, Visitor Experience Platform (VEP), and Digital ID Platform (DPI). |
| "Puck" | KeyShare's proprietary NFC-enabled hardware device used for identity verification and credential delivery. |
| "Content" | All text, images, data, software, documentation, and other materials available through the Services. |
3. Description of Services
KeyShare provides an identity verification and credential delivery platform. The Services include:
Hotel Solutions
Guest identity verification, digital key delivery, self-service check-in, and loyalty enrollment.
Physical Access
Digital ID-based building access control, visitor management, and physical security.
Government
Sovereign digital identity platform for national-scale credential ecosystems.
Website
Informational content, documentation, contact forms, and partner program applications.
Enterprise and government deployments are subject to separate service agreements that supplement these Terms.
4. User Accounts
Certain Services require account registration. When you create an account, you agree to:
- Provide accurate and complete information
- Maintain the security of your login credentials
- Notify us promptly of any unauthorized access to your account
- Accept responsibility for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms or that appear to be compromised.
5. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party rights
- Engage in unauthorized access, hacking, or security testing without written permission
- Transmit malware, viruses, or any destructive code
- Attempt to reverse-engineer, decompile, or extract source code from the Services
- Use the Services for surveillance, mass biometric identification, or any purpose not described in these Terms
- Interfere with or disrupt the Services or infrastructure
- Impersonate any person or entity
- Use automated tools (bots, scrapers) to access the Services without written authorization
6. Intellectual Property
Patent Protection
KeyShare's identity verification and credential delivery technology is protected by four (4) granted United States patents, with additional US and international patents pending. The patent portfolio covers the core interaction model, NFC-based identity verification, credential provisioning, and the orchestration layer. See our Patent Portfolio for details.
All Content, software, hardware designs, trademarks, logos, and other materials are the property of KeyShare, Inc. or its licensors and are protected by intellectual property laws. You may not:
- Copy, modify, or distribute any Content without written permission
- Use the KeyShare name, logos, or trademarks without written authorization
- Remove or alter any proprietary notices or labels
Limited license: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services in accordance with these Terms and any applicable service agreement.
7. Data & Privacy
Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect personal information. Key commitments:
8. Disclaimers & Warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, or secure. We do not warrant that any defects will be corrected or that the Services will meet your specific requirements. Physical access control functions are architected for on-premise operation and are not dependent on cloud connectivity for door access decisions.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- KeyShare shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
- KeyShare's total aggregate liability for any claims arising out of or related to these Terms or the Services shall not exceed the amount you paid to KeyShare in the twelve (12) months preceding the claim, or $100, whichever is greater.
- These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations above apply to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless KeyShare, its officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any content you submit through the Services.
11. Termination
We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may discontinue use of the Services at any time.
Upon termination: (a) your license to use the Services ends immediately; (b) you must cease all use of the Services; (c) we may delete your account and associated data after a reasonable retention period, subject to legal obligations and our Privacy Policy. Sections 6 (Intellectual Property), 8 (Warranties), 9 (Liability), 10 (Indemnification), and 12 (Governing Law) survive termination.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions.
Any disputes arising out of or related to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), conducted in English, with the seat of arbitration in the State of Delaware. Either party may seek injunctive relief in any court of competent jurisdiction to protect intellectual property rights.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last Updated" date. If changes are significant, we will provide additional notice through our platform or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
